The Governing Plan Documents clause establishes that the terms and conditions of a specific plan document take precedence in governing the administration and interpretation of a benefit or policy. In practice, this means that if there is any conflict or inconsistency between the plan document and other related materials, such as summaries or communications, the plan document will control. This clause ensures clarity and legal certainty by designating a single authoritative source for resolving disputes or ambiguities regarding the plan's provisions.
Governing Plan Documents. Your PRSU Grant is subject to all the provisions of the Plan, including any limits on the number of shares that may be issued to you as set forth in Section 6(d) of the Plan, the provisions of which are hereby made a part of your PRSU Grant, and is further subject to all interpretations, amendments, rules and regulations which may from time to time be promulgated and adopted pursuant to the Plan. Except as otherwise expressly provided herein in the event of any conflict between the terms in the PRSU Grant and the Plan, the terms of the Plan will control; provided further however, that in the event of any conflict between the terms in the PRSU Grant, this Agreement and your EOBA, the terms of the EOBA will control.

Governing Plan Documents. Participant’s RSU Award is subject to all the provisions of the Plan, including but not limited to the provisions in:
(a) Section 7(c) of the Plan regarding the award, issuance and settlement of Restricted Stock Units;
(b) Section 12 of the Plan regarding adjustments upon a Change in Control; and
(c) Section 15(b) of the Plan regarding the Company’s retained rights to terminate Participant’s employment or other services to the Company notwithstanding the grant of the RSU Award. The RSU Award is further subject to all interpretations, amendments, rules and regulations, which may from time to time be promulgated and adopted pursuant to the Plan. In the event of any conflict between the RSU Award Agreement and the provisions of the Plan, the provisions of the RSU Award Agreement shall control.
Governing Plan Documents. Participant’s RSU Award is subject to all the provisions of the Plan (despite the fact that the RSU Award was granted outside of the Plan), including but not limited to the provisions in:
(a) Section 6(c) of the Plan regarding the award, issuance and settlement of Restricted Stock Units;
(b) Section 11 of the Plan regarding adjustments upon a Change in Control; and
(c) Section 13(c) of the Plan regarding the Company’s retained rights to terminate Participant’s employment or other services to the Company notwithstanding the grant of the RSU Award. The RSU Award is further subject to all interpretations, amendments, rules and regulations, which may from time to time be promulgated and adopted pursuant to the Plan. In the event of any conflict between the RSU Award Agreement and the provisions of the Plan, the provisions of the RSU Award Agreement shall control.

In the event that any Class A Shares to be exchanged pursuant hereto are issued under the Company’s 2019 Equity Incentive Plan (as amended, the “Plan”), the Class B Shares issued pursuant hereto shall remain subject to the terms of the Plan and the form of governing documentation thereunder, including any Stock Option Grant Notice and Option Agreement as well as, if applicable, any Early Exercise Stock Purchase Agreement or similar agreement.
