Except as amended by this Agreement, electronic funds transfers we permit that are subject to Article 4A of the Uniform Commercial Code will be subject to such provisions of the Uniform Commercial Code as enacted by the state of Ohio. Governing Regulations. For purposes of any vesting analysis, the Parties agree that the Effective Date shall be construed as the date upon which the Original Agreement was approved by the City Council of Dripping Springs. The Applicable Rules shall govern the Project, unless otherwise expressly provided for in this Agreement. For the term of this Agreement, the development and use of the Land will be controlled by the terms of this Agreement, the Project Approvals, and the Applicable Rules. If there is any conflict with the terms of this Agreement and the Applicable Rules, the terms of this Agreement will control. If there is a conflict between the terms regarding construction of water and wastewater facilities under this Agreement and the Agreement for the Provisions of Nonstandard Wholesale and Retail Water Service, as amended, and the Wastewater Utility Service and Fee Agreement, as amended (collectively, the “Utility Agreements”), the terms regarding construction of water and wastewater facilities under the Utility Agreements shall control if there is an unavoidable conflict in terms that cannot be resolved by harmonizing the intent of this Agreement and the Utility Agreements. Notwithstanding anything contained herein to the contrary, the variances described on Exhibit E to the Development Agreement are approved.

International wire transfers and electronic transactions to your Account may be delayed in accordance with screening procedures necessary to comply with Office of Foreign Assets Control (OFAC) financial sanctions. We may refuse to credit an Account for a wire transfer or electronic transaction if such action would violate OFAC requirements.
Governing Regulations. The Grievant has the right to CSEA representation at any informal or formal grievance meeting conducted.

To the extent not inconsistent with the express terms of the Master Cooperative Agreement (MCA) No. W912LM- 16-2-1000 between the National Guard Bureau and the State of Minnesota, the provisions of Title 2 Code of Federal Regulations (CFR) Part 200, and NGR 5-1, are hereby incorporated into this Contract by reference as if fully set forth herein, shall govern this Agreement. Attachment A consists of those provisions of part 200 which are terms & conditions commonly applicable to NGB assistance instruments.
Governing Regulations. (a) Except as may otherwise be mutually agreed to by the Parties, use and development of the Property shall be governed solely by the following regulations (collectively, the “Governing Regulations”):
(i) the comprehensive zoning ordinance of the City as it exists on the Effective Date (the “Zoning Ordinance”), as amended by the Development Regulations (defined below) and the Concept Plan (defined below); and
(ii) the subdivision regulations of the City codified as Chapter 10 of the City's Code of Ordinances as such regulations exist on the Effective Date (the “Subdivision Regulations”); and
(iii) the development regulations set forth on Exhibit B (the “Development Regulations”) and the concept plan set forth on Exhibit C (the “Concept Plan”), which modify the Zoning Ordinance; and
(iv) final plats for all or portions of the Property that are approved, from time to time, by the City in accordance with this Agreement (the “Approved Plats”).
(b) The Governing Regulations are exclusive, and no other ordinances, rules, regulations, standards, policies, orders, guidelines, or other City-adopted or City-enforced requirements of any kind (including but not limited to any moratorium adopted by the City after the Effective Date) apply to the development of the Property. Pursuant to the authority of Section 242.001(a)(3) of the Texas Local Government Code, the Parties agree that the Governing Regulations shall include the City’s exercise of exclusive jurisdiction over the subdivision and platting of the Property and the design, construction, installation, and inspection of public infrastructure needed to serve the development of the Property as permitted by this Agreement (“Public Infrastructure”) in the event the City does not exercise the option of annexing the Property. To the extent the Governing Regulations require compliance with the City’s comprehensive plan or master thoroughfare plan, this Agreement shall control in the event of a conflict with the comprehensive plan or master thoroughfare plan.
