Governing Xxx. Xx is agreed that this Lease shall be governed by, construed, and enforced in accordance with the laws of the Province of Alberta.

Xxis Agreement shall be governed by and construed in accordance with the internal laws of the State of Maryland; provided, however, that nothing herein shall be construed in a manner that is inconsistent with the 1940 Act, the Investment Advisers Act of 1940, as amended, or the rules and regulations promulgated with respect to such respective Acts.
