Common use of Government Action Clause in Contracts

Government Action. (a) A final non-appealable order is issued by any Governmental Authority (including the United States Justice Department) requiring any Company to divest all or a substantial portion of its assets under any antitrust, restraint of trade, unfair competition, industry regulation, or similar Governmental Requirements, or (b) any Governmental Authority seizes or otherwise appropriates, or takes custody or control of, all or any substantial portion of the assets of any Company, other than through condemnation proceeding.

Government Action. (a) A final non-appealable order is issued by any Governmental Authority Tribunal (including including, but not limited to, the United States Justice Department) requiring seeking to cause any Company to divest all or a substantial significant portion of its assets under any antitrust, restraint of trade, unfair competition, industry regulation, regulation or similar Governmental Requirements, or Laws or (b) any Governmental Authority Tribunal condemns, seizes or otherwise appropriates, appropriates or takes custody or control of, of all or any substantial portion of the assets of any Company, other than through condemnation proceeding.
