Common use of Government and Agency Approvals Clause in Contracts

Government and Agency Approvals. No authorization, consent, approval, or other action by, and no notice to or filing with, any Governmental Authority, including Xxxxxx Xxx, Freddie Mac, HUD or Xxxxxx Xxx, is required for Borrower’s due execution, delivery or performance of any Facility Document to which it is a party except for (i) consents that have been obtained in connection with transactions contemplated by the Facility Documents, including consents obtained from Freddie Mac and Xxxxxx Xxx pursuant to the applicable Acknowledgment Agreements, (ii) filings to perfect the security interest created by this Agreement, (iii) consents and approvals that may be required by Xxxxxx Xxx, Freddie Mac, HUD or Xxxxxx Xxx from time to time after the Closing Date, and (iv) authorizations, consents, approvals, filings, notices, or other actions the failure to make is not reasonably likely, individually or in the aggregate, to have a Material Adverse Effect.
