Government Challenges. None of the Company, the Merger Sub, or TCC shall be subject to any order, decree or injunction of a court of competent jurisdiction that enjoins or prohibits the consummation of this Agreement or any material action contemplated hereby, nor shall any Governmental Authority have instituted a suit or proceeding that is then pending and seeks to enjoin or prohibit the transactions contemplated hereby.
Government Challenges. The validity of any permit, approval or consent by any governmental authority relating to the Land, the Collateral, or the operation thereof is challenged by a proceeding before a board, commission, agency, court or other authority having jurisdiction, after fifteen (15) days written notice and an opportunity to cure.
