Common use of Government Consents, Approvals, and Waivers Clause in Contracts

Government Consents, Approvals, and Waivers. The parties will have received any consents, Permits, approvals and waivers of any Governmental Authority (excluding any consents from customers pursuant to a Government Contract of the Company) required in order for the parties to consummate the transactions contemplated hereby, except where the failure to receive any such consent, Permit, approval, and/or waiver would not reasonably be expected to have a Material Adverse Effect.
