Common use of Government Support to Obtain Government Authorisations Clause in Contracts

Government Support to Obtain Government Authorisations. (a) Subject to the Company’s timely submission of the reports required by Section 4.2, upon request of the Company, the GOB shall support and use all reasonable efforts to expedite the consideration of the Company’s applications for the Government Authorisations or reissuances thereof filed pursuant to and in accordance with Section 4.1, and the timely issuance thereof or reissuance of a Government Authorisation subject to a Lapse of Consent by the Relevant Authorities. The GOB shall use all reasonable efforts under the circumstances to ensure that the Government Authorisations when issued by Relevant Authorities have an effective period of the Term or, if issuance of a Government Authorisation for the Term is in contravention of the Laws of Bangladesh, for the maximum permissible period under the Laws of Bangladesh and that period is subsequently extended from time to time for the duration of the Term; provided, that the GOB shall have no obligations hereunder where the issuance of a Government Authorisation for an effective period of less than the maximum permissible period is supported by the relevant facts and circumstances involved, including but not limited to the location of the Facility, its size and age, the technology used, the purposes and objectives that the Government Authorisation is intended to achieve, and the practices of the Relevant Authority in connection with the issuance of similar consents to third parties.

The GOB shall use all reasonable efforts under the circumstances to ensure that the Government Authorisations when issued by Relevant Authorities have an effective period of the Term or, if issuance of a Government Authorisation for the Term is in contravention of the Laws of Bangladesh, for the maximum permissible period under the Laws of Bangladesh and that period is subsequently extended from time to time for the duration of the Term; provided, that the GOB shall have no obligations hereunder where the issuance of a Government Authorisation for an effective period of less than the maximum permissible period is supported by the relevant facts and circumstances involved, including but not limited to the location of the Facility, its size and age, the technology used, the purposes and objectives that the Government Authorisation is intended to achieve, and the practices of the Relevant Authority in connection with the issuance of similar consents to third parties.
