Common use of Governmental and Other Approvals Clause in Contracts

Governmental and Other Approvals. Apply for, obtain and/or maintain in effect, as applicable, all material authorizations, consents, approvals, licenses, qualifications, exemptions, filings, declarations and registrations (whether with any court, governmental agency, regulatory authority, securities exchange or otherwise) which are necessary in connection with the execution, delivery and performance of this Agreement, the other Loan Documents, or any other documents or instruments to be executed and/or delivered by the Company or Guarantors, as the case may be, in connection therewith or herewith.

Governmental and Other Approvals. Apply for, obtain and/or maintain in effect, as applicable, all material authorizations, consents, approvals, licenses, qualifications, exemptions, filings, declarations and registrations (whether with any court, governmental agency, regulatory authority, securities exchange or otherwise) which are necessary in connection with the execution, delivery and and/or performance by any Loan Party of this Agreement, the other any Loan Documents, or any other documents or instruments Document to be executed and/or delivered by the Company or Guarantors, as the case may be, in connection therewith or herewithwhich it is a party.

Apply for, obtain and/or obtain, and maintain in effect, as applicable, all material authorizations, consents, approvals, licenses, qualifications, exemptions, filings, declarations and registrations (whether with any court, governmental agency, regulatory authority, securities exchange National Securities Market or otherwise) which are necessary in connection with the execution, delivery and performance by Exelixis of this Agreement, the other Loan Documents, Documents and the transactions consummated or any other documents or instruments to be executed and/or delivered by the Company or Guarantors, as the case may be, in connection therewith or herewithconsummated thereunder.
