Common use of Governmental and Other Consents, Etc Clause in Contracts

Governmental and Other Consents, Etc. No Consent or Permit of any Person is required to be obtained by the Company, any of its Subsidiaries or the Sellers in connection with the execution and delivery of this Agreement or the consummation of the transactions contemplated hereby, or to carry on the Company's business as now being conducted, other than (a) under Contracts being terminated at or before Closing which are identified on Schedule 3.19, and (b) the Consents and Permits specified in Schedule 3.19, all of which have been obtained.

Governmental and Other Consents, Etc. No Consent or Permit of any Person is required to be obtained by the Company, any of its Subsidiaries Company or the Sellers Seller in connection with the execution and delivery of this Agreement or the consummation of the transactions contemplated hereby, or to carry on the Company's business as now being conducted, other than (a) under Contracts being terminated at or before Closing which are identified on Schedule 3.19Closing, and (b) the Consents and Permits other than those specified in Schedule 3.193.20, all of which have been or by the Closing Date will be obtained, except as otherwise indicated in writing to the Buyer.
