Common use of Governmental and Other Consents Clause in Contracts

Governmental and Other Consents. All approvals, authorizations, consents, orders or other actions of, and all registration, qualification, designation, declaration, notice to or filing with, any Person or of any governmental body or official required in connection with the execution and delivery of any of the Facility Documents to which the Borrower is a party, the consummation of the transactions contemplated hereby or thereby, the performance of and the compliance with the terms hereof or thereof, have been obtained, except where the failure so to do would not have a Material Adverse Effect.

All approvals, authorizations, consents, orders or other actions of, and all registration, qualification, designation, declaration, notice to or filing with, any Person or of any governmental body or official Official Body required in connection with the execution and delivery by the Purchaser of any of the Facility Transaction Documents to which the Borrower it is a party, the consummation of the transactions contemplated hereby thereby or thereby, the performance of and the compliance with the terms hereof or thereof, have been obtained, except where the failure so to do take such action would not have a Material Adverse Effect.
