Common use of Governmental and Other Consents Clause in Contracts

Governmental and Other Consents. No consent, approval or authorization of, or designation, registration, declaration or filing with, any governmental entity or third Person is required on the part of such Investor in connection with the execution or delivery of this Agreement or the consummation by it of the transactions contemplated hereby.

Governmental and Other Consents. No consent, approval or authorization of, or designation, registration, declaration or filing with, any governmental entity or third Person is required on the part of such Investor Purchaser in connection with the execution or delivery of this Agreement or the consummation by it of the transactions contemplated hereby, except such filings as may be necessary to disclose the acquisition of additional securities of the Company by Purchasers that are required to report their ownership and changes in such ownership under applicable securities laws, or to disclose the existence of this Agreement.
