Common use of Governmental and Regulatory Consents and Approvals Clause in Contracts

Governmental and Regulatory Consents and Approvals. (a) All Permits required by Seller, CLIC, Purchaser or LLANY from governmental and regulatory bodies listed on Exhibit J hereto shall have been obtained and shall be in full force and effect and without conditions or limitations which would have a material adverse effect on the business of Seller and are unacceptable to Seller in the exercise of its reasonable business judgment, and Seller shall have been furnished with appropriate evidence, reasonably satisfactory to it and its counsel, of the granting of such Permits. (b) The waiting period prescribed by the HSR Act shall have expired or early termination thereof shall have been granted.

(a) All Permits and authorizations required by Seller, CLIC, Purchaser or LLANY from governmental and regulatory bodies listed on Exhibit J F hereto shall have been obtained and shall be in full force and effect and without conditions or limitations which would have a material adverse effect on the business of Seller Business as operated by Purchaser after the Closing Date and are unacceptable to Seller Purchaser in the exercise of its reasonable business judgment, and Seller Purchaser shall have been furnished with appropriate evidence, reasonably satisfactory to it and its counsel, of the granting of such Permits. (b) The waiting period prescribed by the HSR Act shall have expired or early termination thereof shall have been granted.

(a) All Permits and authorizations required by Seller, CLIC, Purchaser or LLANY each Seller and Purchasers from governmental and regulatory bodies listed on Exhibit J hereto 5 shall have been obtained and shall be in full force and effect and without conditions or limitations which would have a material adverse effect on the business of Seller Business as operated by Purchasers after the Closing Date and are unacceptable to Seller Purchasers in the exercise of its reasonable business judgment, and Seller Purchasers shall have been furnished with appropriate evidence, reasonably satisfactory to it and its counsel, of the granting of such Permits. (b) The applicable waiting period prescribed by under the HSR Act Act, including all extensions thereof, shall have expired or early termination thereof been terminated and Purchasers shall have been grantedfurnished with appropriate evidence, reasonably satisfactory to it, of such expiration or termination.
