Common use of Governmental and Third Party Authorizations Clause in Contracts

Governmental and Third Party Authorizations. The execution and delivery by the Seller of the Transaction Documents to which the Seller is party, the performance by the Seller of its obligations hereunder and thereunder and the consummation of any of the transactions contemplated hereunder and thereunder (including the sale, contribution, assignment, transfer, conveyance and granting of the Purchased Assets to the Purchaser) do not require any consent, approval, license, order, authorization or declaration from, notice to, action or registration by or filing with any Governmental Authority or any other Person, except for the filing of UCC financing statements and the notice to Counterparty contained in the Counterparty Instruction.

The execution and delivery by the Seller Parties of this Agreement and the other Transaction Documents to which the Seller is partyDocuments, the performance by the Seller Parties of its their respective obligations hereunder and thereunder and the consummation of any by the Seller Parties of the transactions contemplated hereunder hereby and thereunder (including the sale, contribution, assignment, transfer, conveyance and granting of the Purchased Assets to the Purchaser) thereby do not require any consent, approval, license, order, authorization or declaration from, notice to, action or registration by by, or filing with with, any Governmental Authority or any other Person, except for (i) the filing of a Current Report on Form 8-K with the SEC, (ii) the filing of UCC financing statements and (iii) the notice to Counterparty contained in eCapital Payoff Letter and the Counterparty InstructionOramed Consent.
