Common use of Governmental and Third Party Authorizations Clause in Contracts

Governmental and Third Party Authorizations. Except as set forth on Schedule 4.4, no Authorization, Order, consent, approval or authorization of, declaration to or filing or registration with, any Governmental Entity or any other Person is required to be made or obtained (or would be required to be made or obtained with the giving of notice, the passage of time or the happening of any other event or circumstance) by the Buyer in connection with the execution, delivery and performance of this Agreement, the Ancillary Documents or the consummation of the transactions contemplated hereby.
