No consent, approval or action of, filing with or notice to any Governmental or Regulatory Authority on the part of any Stockholder is required in connection with the execution, delivery and performance of this Stockholders Agreement or the consummation of the transactions contemplated hereby, other than filings under the Exchange Act in connection with such Stockholder's acquisition of Equity Securities and the other transactions contemplated by this Stockholders Agreement and the Merger Agreement.

Governmental Approvals and Filings. No consent, approval or action of, filing with or notice to any Governmental or Regulatory Authority on the part of any Stockholder the Company is required in connection with the execution, delivery and performance of this Stockholders Agreement or the consummation of the transactions contemplated hereby, other than filings under the Exchange Act in connection with such the Stockholder's acquisition of Equity Securities voting agreement contained in this Voting Agreement and the other transactions contemplated hereby and by this Stockholders Agreement and the Merger Agreement.

No consent, approval or action of, filing with or notice to any Governmental or Regulatory Authority Entity on the part of any such Contributing Stockholder is required in connection with the execution, delivery and performance of this Stockholders Agreement by such Contributing Stockholder or the consummation of the transactions contemplated hereby, other than filings under the Exchange Act in connection with hereby by such Contributing Stockholder's acquisition of Equity Securities and the other transactions contemplated by this Stockholders Agreement and the Merger Agreement.

No consent, approval or action of, filing with or notice to any Governmental or Regulatory Authority on the part of any Stockholder the Investor is required in connection with the execution, delivery and performance of this Stockholders Agreement or the consummation of the transactions contemplated hereby, other than filings under the Exchange Act in connection with such Stockholder's acquisition of Equity Securities and the other transactions contemplated by this Stockholders Agreement and the Merger Agreement.
