No authorization or approval or other action by, and no notice to or filing with, any Governmental Authority is required in connection with the due execution, delivery and performance by any Loan Party of this Amendment, or in connection with the performance of any Loan Document to which it is or will be a partyas amended by this Amendment.

No authorization or approval or other action by, and no notice to or filing with, any Governmental Authority is required in connection with the due execution, delivery and performance by any Loan Party of any Loan Document to which it is or will be a party, except for those which were obtained on or prior to the Effective Date.

No authorization or approval or other action by, and no notice to or filing with, any Governmental Authority is required in connection with the due execution, delivery and performance by any Loan Party of any Loan Document to which it is or will be a party, except (i) for recordings and filings in connection with the Liens granted to the Collateral Agent under the Loan Documents, (ii) those obtained or made on or prior to the Effective Date and (iii) any filings required to be made by the Loan Parties after the Effective Date in the ordinary course of business of such Loan Parties.
