Except for the HSR Filing, no consent, approval or authorization of any governmental or regulatory authority or any other party or person is required to be obtained by the Purchaser in connection with its execution, delivery and performance of this Agreement and the other Transaction Documents and agreements contemplated hereby to which the Purchaser is a party or the transactions contemplated hereby or thereby.
