GOVERNMENTAL AUTHORITIES AND REGULATIONS. Except as set forth in the Registration Statement and the Prospectus, to the Company's knowledge (i) the Company is not in violation of any order of any governmental authority directing the Company to make any material change in the method of conducting its business, (ii) the Company has conducted and is conducting its business so as to comply in all material respects with all applicable statutes and regulations, (iii) neither the Company nor any affiliated persons thereof is a party or directly or indirectly subject to any supervisory agreement or other similar operating restrictions imposed by any governmental authority which have had or may be expected to have a material effect on the conduct of any of the business of the Company.
