The Governmental Authority Approval clause requires that certain actions, transactions, or agreements are contingent upon receiving approval or consent from relevant government agencies or regulatory bodies. In practice, this means that parties cannot proceed with specific aspects of a contract—such as construction, mergers, or the sale of regulated goods—until all necessary permits, licenses, or authorizations have been obtained from the appropriate authorities. Governmental Authority Approval. The consummation of the Bank Merger shall have been approved by all governmental and regulatory agencies or authorities whose approval is required, such approvals shall be in full force and effect and no longer subject to judicial or administrative review and all waiting periods required by law shall have expired.
