Common use of Governmental Authority Approvals and Cooperation Clause in Contracts

Governmental Authority Approvals and Cooperation. (a) As promptly as reasonably practicable after the date of this Agreement, each of the Selling Entities and Buyer shall (and shall cause their respective Affiliates to) use its commercially reasonable efforts to make any filings and notifications, and to obtain any Consents from Governmental Authorities (other than the Bankruptcy Court), required to be made and obtained under applicable Law in connection with the transactions contemplated by this Agreement as promptly as reasonably practicable.
