Governmental Authorization and Consents. The execution, delivery and performance by such Seller of the Transaction Documents and the consummation of the transactions contemplated thereby require no action by or in respect of, or filing with, any Governmental Authority other than those set forth in ‎Section 3.03 of the Disclosure Schedule.
