Common use of Governmental Authorization; Compliance with Laws Clause in Contracts

Governmental Authorization; Compliance with Laws. No approval, consent, exemption, authorization, or other action by, or notice to, or filing with, any Governmental Authority or any other Person is necessary or required in connection with (a) the execution, delivery or performance by, or enforcement against, each Wholly Owned Opco Guarantor of this Agreement, or (b) the exercise by the Collateral Agent or any other Secured Party of its rights under the Loan Documents or pursuant to this Agreement.

(a) No approval, consent, exemption, authorization, or other action by, or notice to, or filing with, any Governmental Authority or any other Person (including, without limitation, the shareholders of any Person) is necessary or required in connection with (a) the execution, execution and delivery or performance byby any Loan Party of, or enforcement against, each Wholly Owned Opco Guarantor of this Agreement, or (b) the exercise performance by the Collateral Agent or any other Secured Loan Party of its rights under the obligations under, any Loan Documents or pursuant Document to this Agreementwhich it is a party, other than those that have been obtained.
