No Except as set forth in this Agreement, no material approval, consent, compliance, exemption, authorization, exemption or other action authorization by, or notice to, to or filing with, any Governmental Authority or any other Person, and no lapse of a waiting period under any Requirement of Law, Person is necessary or required to be obtained by the Purchaser in connection with the execution, delivery or performance by, or enforcement against, by the Contributing Shareholder Purchaser of this Agreement or the Ancillary Agreements or the transactions contemplated herebyhereby and thereby.

No Except as set forth in this Agreement (collectively as to all of the Sellers, the "SELLERS CONSENTS"), no material approval, consent, compliance, exemption, authorization, exemption or other action authorization by, or notice to, to or filing with, any Governmental Authority or any other Person, and no lapse of a waiting period under any Requirement of Law, Person is necessary or required to be made or obtained by such Seller in connection with the execution, delivery or performance by, or enforcement against, the Contributing Shareholder of this Agreement or the Ancillary Agreements to which it is a party or the transactions contemplated herebyhereby and thereby.
