Common use of Governmental Authorization Clause in Contracts

Governmental Authorization. No approval, consent, exemption, authorization, or other action by, or notice to, or filing with, any Governmental Authority is required to be obtained or made by the Borrower by any material statutory law or regulation applicable to it as a condition to the execution, delivery or performance by, or enforcement against, the Borrower of any Loan Document.

Governmental Authorization. No approval, consent, exemption, authorization, or other action by, or notice to, or filing with, any Governmental Authority is necessary or required to be obtained or made by the Borrower by any material statutory law or regulation applicable to it as a condition to in connection with the execution, delivery or performance by, or enforcement against, the Borrower of this Agreement or any other Loan Document.

Governmental Authorization. No approval, consent, exemption, authorization, authorization or approval or other action by, or and no notice to, to or filing with, any Governmental Authority or any other Person is required to be obtained or made by for the Borrower by any material statutory law or regulation applicable to it as a condition to the due execution, delivery or and performance by, or enforcement against, by the Borrower of any Loan Document.

Governmental Authorization. No approval, consent, exemption, authorization, or other action by, or notice to, or filing with, any Governmental Authority is necessary or required to be obtained or made by the Borrower by any material statutory law or regulation applicable to it as a condition to in connection with the execution, delivery or performance by, or enforcement against, the Borrower Company or any of its Subsidiaries of this Agreement or any other Loan DocumentDocument other than those which have already been obtained or made.

Governmental Authorization. No approval, consent, exemption, authorization, authorization or other action by, or notice to, or filing with, any Governmental Authority is required to be (other than any of the foregoing which has been obtained or made by the Borrower by any material statutory law and is in full force and effect) is necessary or regulation applicable to it as a condition to required in connection with the execution, delivery or performance by, or enforcement against, the Borrower of this Agreement or any other Loan Document.

Governmental Authorization. No approval, consent, exemption, authorization, or other action by, or notice to, or filing with, any Governmental Authority is necessary or required to be obtained or made by the Borrower by any material statutory law or regulation applicable to it as a condition to in connection with the execution, delivery or performance by, or enforcement against, the Borrower of the Agreement or any other Loan Document.

Governmental Authorization. No approval, consent, exemption, authorization, or other action by, or notice to, or filing with, any Governmental Authority (each of the foregoing, an “Authorization”) is necessary or required to be obtained or made by the Borrower by any material statutory law or regulation applicable to it as a condition to in connection with the execution, delivery or performance by, or enforcement against, the any Borrower of the Agreement or any other Loan Document, except to the extent that failure to have obtained or completed, as applicable, such Authorization would not result in a Material Adverse Effect.

Governmental Authorization. No approval, consent, exemption, authorization, or other action by, or notice to, or filing with, any Governmental Authority is necessary or required to be obtained or made by the Borrower by any material statutory law or regulation applicable to it as a condition to in connection with the execution, delivery or performance by, or enforcement against, the Borrower Company or any of its Subsidiaries of this Agreement or any other Loan Document.

No approval, consent, exemption, authorization, or other action by, or notice to, or filing with, any Governmental Authority is necessary or required to be obtained or made by the Borrower by any material statutory law or regulation applicable to it as a condition to in connection with the execution, delivery or performance by, or enforcement against, the any Borrower of the Agreement or any other Loan Document.

No approval, consent, exemption, authorization, or other action by, or notice to, or filing with, any Governmental Authority is necessary or required to be obtained or made by the Borrower by any material statutory law or regulation applicable to it as a condition to in connection with the execution, delivery or performance by, or enforcement against, the Borrower or any of its Subsidiaries, as applicable, of the Agreement or any other Loan Document.

No approval, consent, exemption, authorization, or other action by, or notice to, or filing with, any Governmental Authority is necessary or required to be obtained or made by the Borrower by any material statutory law or regulation applicable to it as a condition to in connection with the execution, delivery or performance by, or enforcement against, the Borrower or any of its Subsidiaries or Guarantor, as applicable, of any Loan Document.

No approval, consent, exemption, authorization, authorization or approval or other action by, or and no notice to, to or filing with, any Governmental Authority or any other Person is required to be obtained or made by for the Borrower by any material statutory law or regulation applicable to it as a condition to the due execution, delivery or and performance by, or enforcement against, the by any Borrower of any Loan Document.

No approval, consent, exemption, authorization, or other action by, or notice to, or filing with, any Governmental Authority is necessary or required to be obtained or made by the Borrower by any material statutory law or regulation applicable to it as a condition to in connection with the execution, delivery or performance by, or enforcement against, the Borrower of this Agreement or any other Loan DocumentDocument except such as have been obtained or made and are in full force and effect.

Governmental Authorization. No approvalconsent or authorization of, consentfiling with, exemption, authorization, notice to or other action by, similar act by or notice to, or filing within respect of, any Governmental Authority is required to be obtained or made by the Borrower by or on behalf of any material statutory law or regulation applicable to it as a condition to Loan Party in connection with the execution, delivery delivery, performance, validity or performance byenforceability of this Amendment, except for (i) consents, authorizations, notices and filings that have been obtained or enforcement againstmade prior to or on the Effective Date and (ii) consents, authorizations, notices and filings which the Borrower of any Loan Documentfailure to obtain or make would not reasonably be expected to have a Material Adverse Effect.

No approval, consent, exemption, authorization, authorization or other action by, or notice to, or filing with, any Governmental Authority is necessary or required to be obtained or made by the Borrower by any material statutory law or regulation applicable to it as a condition to in connection with the execution, delivery or performance by, or enforcement against, the Borrower of the Agreement or any other Loan Document.

Governmental Authorization. No approval, consent, exemption, authorization, or other action by, or notice to, or filing with, any Governmental Authority is necessary or required to be obtained or made by the Borrower by any material statutory law or regulation applicable to it as a condition to in connection with the execution, delivery or performance by, or enforcement against, the by Borrower of any Loan DocumentDocument to which it is a party, other than routine filings required to be made by Borrower in the ordinary course of business after the date hereof.

No approval, consent, exemption, authorization, or other action by, or notice to, or filing with, any Governmental Authority governmental authority or other person is necessary or required to be obtained or made by the Borrower by any material statutory law or regulation applicable to it as a condition to in connection with the execution, delivery or performance by, or enforcement against, against the Borrower Borrowers or any Subsidiaries of any Loan Documentthis Amendment except for such as have been obtained or made and filings required in order to perfect and render enforceable the Lender's security interests.

No approval, consent, exemption, authorization, or other action by, or notice to, or filing with, any Governmental Authority is necessary or required to be obtained or made by the Borrower by any material statutory law or regulation applicable to it as a condition to in connection with the execution, delivery or performance byby any Obligor of this Amendment except for such approvals, consents, exemptions, authorizations, actions, notices and filings which have been obtained, taken, given or enforcement against, the Borrower of any Loan Documentmade and are in full force and effect.

No approval, consent, exemption, authorization, or other action by, or notice to, or filing with, any Governmental Authority governmental authority is necessary or required to be obtained or made by the Borrower by any material statutory law or regulation applicable to it as a condition to in connection with the execution, delivery or performance by, or enforcement against, the Borrower of with respect to any Loan Document.

No consent, approval, consent, exemption, authorizationorder or authorization of, or other action byregistration, declaration or filing with, or notice to, or filing with, any Governmental Authority is required to be obtained or made by the Borrower by any material statutory law or regulation applicable to it as a condition to Purchaser in connection with the execution, delivery and performance by Purchaser of this Agreement or performance by, or enforcement against, the Borrower consummation by Purchaser of any Loan Documentthe Transactions.

Governmental Authorization. No material approval, consent, exemption, authorization, authorization or other action by, or notice to, or filing with, any Governmental Authority governmental authority is necessary or required to be obtained or made by the Borrower by any material statutory law or regulation applicable to it as a condition to the execution, delivery or performance by, or enforcement against, the Borrower Issuer of any Loan Documentthis Note.

Governmental Authorization. No approvalauthorization, consent, exemption, authorization, license or other action by, or notice toapproval of, or filing or registration with, or notification to, any Governmental Authority is required to be obtained or made by the Borrower by any material statutory law or regulation applicable to it as a condition to in connection with the execution, delivery or performance by, or enforcement against, of the Borrower of any Loan DocumentDocuments by Borrower.

Governmental Authorization. No approval, consent, exemption, authorization, or other action by, or notice to, or filing with, any Governmental Authority governmental authority or other person is necessary or required to be obtained or made by the Borrower by any material statutory law or regulation applicable to it as a condition to in connection with the execution, delivery or performance by, or enforcement against, against each Borrower and each Guarantor of this Fourth Amendment or the Borrower of any Loan DocumentCredit Agreement except for such as have been obtained or made and filings required in order to perfect and render enforceable the Collateral Agent’s Liens.

No approval, consent, exemption, authorization, or other action by, or notice to, or filing with, any Governmental Authority governmental authority or other person is necessary or required to be obtained or made by the Borrower by any material statutory law or regulation applicable to it as a condition to in connection with the execution, delivery or performance by, or enforcement against, against each Borrower and each Guarantor of this Amendment or the Borrower of any Loan DocumentCredit Agreement.

Governmental Authorization. No material approval, consent, exemption, authorization, or other action by, or notice to, or filing with, any Governmental Authority is required to be which has not been obtained or made by the Borrower by any material statutory law given is necessary or regulation applicable to it as a condition to required in connection with the execution, delivery or performance by, or enforcement against, the either Borrower of any Loan Credit Document.

No approvalauthorization, consent, exemption, authorization, license or other action by, or notice toapproval of, or filing or registration with, or notification to, any Governmental Authority is required to be obtained or made by the Borrower by any material statutory law or regulation applicable to it as a condition to in connection with the execution, delivery or performance by, or enforcement against, of the Borrower of any Loan DocumentDocuments by Borrower.

Governmental Authorization. No approval, consent, exemptionpermit, authorization, consent or other action by, approval of or notice to, or filing with, by any Governmental Authority governmental authority is required to be obtained or made by the Borrower by any material statutory law or regulation applicable to it as a condition to Lender in connection with the execution, delivery and performance by it of this Loan Agreement, the consummation by it of the transactions contemplated hereby or performance bythereby, or enforcement against, the issuance or delivery to the Lender by the Borrower of any Loan Documentthe Term Note.

No approval, consent, exemption, authorization, or other action by, or notice to, or filing with, any Governmental Authority is necessary or required to be obtained or made by the Borrower by any material statutory law or regulation applicable to it as a condition to in connection with the execution, delivery or performance by, or enforcement against, the Borrower of any Loan DocumentBorrowers.
