Common use of Governmental Authorizations Clause in Contracts

Governmental Authorizations. Any registration, declaration or filing with, or consent, approval, license, permit or other authorization or order by, or exemption or other action of, any governmental, administrative or regulatory authority, domestic or foreign, that was or is required in connection with the valid execution, delivery, acceptance and performance by such Member under this Agreement or consummation by such Member (or any of its Affiliates) of any transaction contemplated hereby has been completed, made or obtained on or before the date hereof.

Governmental Authorizations. Any registration, declaration or filing with, or consent, approval, license, permit or other authorization or order by, or exemption or other action of, any governmental, administrative governmental or regulatory authority, domestic or foreign, that was or is required to be obtained by such party in connection with the valid execution, delivery, acceptance and performance by such Member party under this Agreement agreement or the consummation by such Member (or any of its Affiliates) party of any transaction contemplated hereby has been completed, made or obtained on or before obtained, as the date hereofcase may be.

Governmental Authorizations. Any registration, declaration or filing with, with or consent, approval, license, permit or other authorization or order by, or exemption or other action of, any governmental, administrative or regulatory authorityGovernmental Authority, domestic or foreign, that was or is required in connection with the valid execution, delivery, acceptance acceptance, and performance by such Member Person under this Agreement or the consummation by such Member (or any of its Affiliates) Person of any transaction contemplated hereby has been completed, made made, or obtained on or before the date hereofEffective Date, except as set forth in this Agreement.

Any registration, declaration or filing with, or consent, approval, license, permit or other authorization or order by, or exemption or other action of, any governmental, administrative or regulatory authority, domestic or foreign, Governmental Authority that was or is required to be obtained by such Partner as of the date hereof in connection with the valid execution, delivery, acceptance and performance by such Member Partner under this Agreement or the consummation by such Member (or any of its Affiliates) Partner of any transaction transactions contemplated hereby has been completed, made or obtained on or before the date hereofobtained.

Governmental Authorizations. Any registration, declaration or filing notification with, or consent, approval, license, permit or other authorization or order by, or exemption or other action of, any governmental, administrative governmental or regulatory authority, authority domestic or foreign, that was or is required in connection with the valid execution, delivery, delivery acceptance and performance by such Member party under this Agreement or consummation by such Member (or any of its Affiliates) of any transaction contemplated hereby has been completed, made made, or obtained on or before the effective date hereofof this Agreement.
