Governmental Charges and Other Indebtedness. To the extent failure to do so could have a Material Adverse Effect, such Guarantor and its Subsidiaries shall promptly pay and discharge all taxes and other charges imposed by any Government Authority upon such Guarantor or its Subsidiaries or their property as and when they become due.
