Common use of Governmental Consents and Filings Clause in Contracts

Governmental Consents and Filings. Assuming the accuracy of the representations in Section 5 of this Agreement, no consent, approval, order or authorization of, or registration, qualification, designation, declaration or filing with, any federal, state or local governmental authority is required on the part of the Company in connection with the consummation of the transactions contemplated by this Agreement.

Governmental Consents and Filings. Assuming the accuracy of the representations made by each of the Lenders in Section 5 6 of this Agreement, no consent, approval, order order, or authorization of, of or registration, qualification, designation, declaration declaration, or filing with, any federal, state state, or local governmental authority is required on the part of the Company in order to enable the Company to execute, deliver, and perform its obligations under this Agreement except for such qualifications or filings under applicable securities laws as may be required in connection with the consummation of the transactions contemplated by this Agreement.
