Common use of Governmental Consents, etc Clause in Contracts

Governmental Consents, etc. No consent, approval or authorization of, or registration, declaration, designation, qualification or filing with, any governmental authority on the part of the Company is required in connection with the valid execution and delivery of this Agreement, the offer, sale or issuance of the Series B Stock or the consummation of any other transaction contemplated hereby, except for filings which have been made or will be timely made, as appropriate.

Governmental Consents, etc. No consent, approval or authorization of, or registration, declaration, designation, qualification declaration or filing with, any federal, state or local governmental authority on the part of the Company is required in connection with the valid execution and delivery of this Agreement, Agreement or the offer, sale or issuance of the Series B Stock or the consummation of any other transaction contemplated herebySecurities, except for (i) filings which have been made with the SEC and (ii) qualification (or will taking such action as may be timely madenecessary to secure an exemption from qualification, as appropriateif available) of the offer and sale of the Securities under applicable state securities or "blue sky" laws.
