Common use of Governmental Litigation Clause in Contracts

Governmental Litigation. There shall not be pending any action, claim, proceeding or investigation instituted by any Governmental Entity challenging or prohibiting the consummation of the Merger and the Transactions.

Governmental Litigation. There shall not have been instituted or be pending any action, claimproceeding, proceeding application, claim or investigation instituted counterclaim by any United States Federal Governmental Entity challenging Authority seeking to restrain or prohibiting prohibit the consummation of the Merger and the TransactionsMerger.
