The execution, delivery and performance by such Loan Party of this Credit Agreement and the other Loan Documents to which such Person is or is to become a party and the transactions contemplated hereby and thereby do not require (x) the approval or consent of, or filing with, any governmental agency or authority other than those already obtained or (y) the approval or consent of, or filing with, any party with whom such Loan Party have entered into material agreements and/or instruments by which such Loan Party or any of its respective properties may be bound, other than those already obtained.
