Governmental Proceeding; Litigation Clause Samples

The 'Governmental Proceeding; Litigation' clause outlines the obligations and procedures that parties must follow if they become involved in legal actions or investigations initiated by government authorities or third parties. Typically, this clause requires prompt notification to the other party if such proceedings arise, and may specify cooperation requirements, information sharing, or the allocation of responsibility for legal costs. Its core function is to ensure transparency and coordinated response between parties when facing legal or regulatory challenges, thereby minimizing risk and confusion during potentially disruptive events.
