Common use of Governmental Regulations Clause in Contracts

Governmental Regulations. (a) Tenant shall, in the use and occupancy of the Premises and the conduct of Tenant’s business or profession therein, at all times comply with all applicable laws, ordinances, orders, notices, rules and regulations of the federal, state and municipal governments, or any of their departments and the regulations of the insurers of the Premises, Building and/or Project. (b) Without limiting the generality of the foregoing, Tenant shall (i) obtain, at Tenant’s expense, before engaging in Tenant’s business or profession within the Premises, all necessary licenses and permits including (but not limited to) state and local business licenses or permits, and (ii) remain in compliance with and keep in full force and effect at all times all licenses, consents and permits necessary for the lawful conduct of Tenant’s business or profession at the Premises. Tenant shall pay all personal property taxes, income taxes and other taxes, assessments, duties, impositions and similar charges which are or may be assessed, levied or imposed upon Tenant and which, if not paid, could be liened against the Premises or against Xxxxxx’s property therein or against Xxxxxx’s leasehold estate. (c) Landlord shall be responsible for compliance with Title III of the Americans with Disabilities Act of l990, 42 U.S.C. ‘12181 et seq. and its regulations, (collectively, the “ADA”) (i) as to the design and construction of exterior common areas (e.g. sidewalks and parking areas) and (ii) with respect to the initial design and construction of the Premises. Except as set forth above in the initial sentence hereto, Tenant shall be responsible for compliance with the ADA in all other respects concerning the use and occupancy of the Premises, which compliance shall include, without limitation (i) provision for full and equal enjoyment of the goods, services, facilities, privileges, advantages or accommodations of the Premises as contemplated by and to the extent required by the ADA, (ii) compliance relating to requirements under the ADA or amendments thereto arising after the date of this Lease and (iii) compliance relating to the design, layout, renovation, redecorating, refurbishment, alteration, or improvement to the Premises made or requested by Tenant at any time following the Commencement Date.

Except as set forth above in the initial sentence hereto, Tenant shall be responsible for compliance with the ADA in all other respects concerning the use and occupancy of the Premises, which compliance shall include, without limitation (i) provision for full lull and equal enjoyment of the goods, services, facilities, privileges, advantages or accommodations of the Premises as contemplated by and to the extent required by the ADA, (ii) compliance relating to requirements under the ADA or amendments thereto arising after the date of this Lease and (iii) compliance relating to the design, layout, renovation, redecorating, refurbishment, alteration, or improvement to the Premises made or requested by Tenant at any time following completion of the Commencement DateLandlord’s Work.

Notwithstanding anything to the contrary as set forth herein, to the extent compliance with any such law, order, ordinance, rule, regulation or requirement is required as a result of (A) the failure of the Building, as of the Date of Occupancy, to comply with such law, order, ordinance, rule, regulation or requirement, (B) any default by Landlord under this Lease (including Landlord's obligations as set forth in Section 6.7 of this Lease), or (C) any environmental condition existing in the Premises as contemplated by and to of the extent required Date of Occupancy (provided that if such environmental condition is the obligation of Tenant under Section 20.2 below, then such Section shall govern Tenant's liability therefor), then Landlord, at its sole expense, shall promptly comply with any such law, order, ordinance, rule, regulation, or requirement, provided that Landlord may contest the same in the same manner as Tenant herein. Notwithstanding the foregoing, during the last three (3) years of any extended term of this Lease (if such option is exercised by the ADATenant as set forth in Section 3.2 of this Lease), if the cost of Tenant's compliance with all requirements of laws, rules, orders, codes, and regulations exceeds $250,000, Tenant may elect to terminate this Lease by giving Landlord written notice of Tenant's election to terminate, which election must be made within ninety (ii90) compliance relating to requirements under the ADA or amendments thereto arising days after the date Tenant first is notified of the requirement, and if Tenant so elects, this Lease and will terminate as of the date that is ninety (iii90) compliance relating to days after Tenant gives Landlord the design, layout, renovation, redecorating, refurbishment, alteration, or improvement to the Premises made or requested by Tenant at any time following the Commencement Datenotice required hereby.

Governmental Regulations. (c) Landlord shall be responsible for compliance with Title III of the Americans with Disabilities Act of l990, 42 U.S.C. ‘12181 et seq. and its regulations, (collectively, the “ADA”) (i) as to the design and construction of exterior common areas (e.g. sidewalks and parking areas) and (ii) with respect to the initial design and construction of the Premises. Except as set forth above in the initial sentence hereto, Tenant shall be responsible for compliance with the ADA in all other respects concerning the use and occupancy of the Premises, which compliance shall include, without limitation (i) provision for full and equal enjoyment of the goods, services, facilities, privileges, advantages or accommodations of the Premises as contemplated by and to the extent required by the ADA, (ii) compliance relating to requirements under the ADA or amendments thereto arising after the date of this Lease and (iii) compliance relating to the design, layout, renovation, redecorating, refurbishment, alteration, or improvement to the Premises made or requested by Tenant at any time following the Commencement Date.
