Governmental Rules. Any statutes, laws, regulations, ordinances, rules, judgments, orders, decrees, directives, guidance documents, by-laws or requirements, or any similar form of decision of or determination by, or any interpretation or administration of any of the foregoing by, any Governmental Unit.

Tenant shall throughout the term of this Lease, at its sole expense, promptly comply with all laws, ordinances, rules, directives and regulations of all federal, state and municipal governments and appropriate departments, commissions, boards and offices thereof, and the orders and regulations of the National Board of Fire Underwriters, or any other body now or hereafter exercising similar functions, which may be applicable to the Premises, Tenant, or the use thereto by Tenant.
Governmental Rules. (a) No Governmental Rule shall have been instituted, issued or proposed to restrain, enjoin or prevent the transactions contemplated hereby or to invalidate, suspend or require modification of any material provision of this Agreement.
(b) No change shall have occurred since the date of this Agreement in any Governmental Rule that, in BUYER'S good faith opinion, would make it illegal for BUYER to consummate the transactions contemplated hereby or subject BUYER to any fine, penalty or other liability under or pursuant to any Governmental Rule in connection with any such transaction.
