COMPLIANCE WITH LAWS AND GOVERNMENTAL REGULATIONS. (a) Tenant shall at all times during the Term be in full compliance with any and all federal, state and local governmental rules and regulations, ordinances and similar provisions having the force and effect of law (collectively, "Laws") which are or would be applicable to the business being conducted in the Premises, as distinguished from the physical facilities in which such business is being conducted.

COMPLIANCE WITH LAWS AND GOVERNMENTAL REGULATIONS. A. Tenant shall at all times during the Term be in full compliance with any and all federal, state and local governmental rules and regulations, ordinances and similar provisions having the force and effect of law (collectively, “Laws”) which are or would be applicable to the business being conducted in the Premises. In particular, all machinery and equipment installed within the Premises shall be used, maintained and operated by the Tenant in full compliance with all laws, rules and regulations of the State of South Carolina and the United States Federal Government and their respective agencies. In addition and for clarification, the Tenant, at its sole cost and expense, must obtain all necessary or required permits, authorizations, and licenses from appropriate governmental agencies to conduct its business within or about the Premises.
COMPLIANCE WITH LAWS AND GOVERNMENTAL REGULATIONS. To the best of Seller's knowledge, Seller has complied in all material respects with all FDA and all other state, federal and local government laws and regulations related to the Business, Products (including but not limited to the manufacture and marketing of the Products), and Purchased Assets. There are no violations of any laws, statutes, rules, regulations, governmental permit requirements, judgments, decrees, ordinances or any other requirements of any governmental agency or body pending, or to Seller's knowledge, threatened against Seller relating to the Business, Products, Purchased Assets and Business Premises. Seller maintains all governmental authorizations, licenses and permits that are required for the operation of the Business, the manufacture and marketing of the Products, the use of the Purchased Assets and Business Premises and all such authorizations, licenses and permits shall be assigned to Buyer to the extent possible.
COMPLIANCE WITH LAWS AND GOVERNMENTAL REGULATIONS. Landlord represents, warrants and agrees that the Premises shall be delivered by Landlord to Tenant in compliance with all governmental laws, ordinances and regulations, including, without limitation, the Americans with Disabilities Act and, to its knowledge, based on that certain Phase I Environmental Assessment prepared by S&ME, dated February 2, 1998, applicable environmental laws, with no hazardous materials or other environmental contaminants located therein or thereon. Tenant shall promptly, at its sole cost and expense, at all times during the term of this Lease, comply with (a) any and all federal, state and local governmental laws, rules, regulations, ordinances, requirements and similar provisions having the force and effect of law (collectively "laws"), and the orders, rules and regulations of the National Board of Fire Underwriters which has jurisdiction or any other body hereafter constituted exercising similar functions, which are or would be applicable to the business being conducted in the Premises; and (b) the reasonable requirements of all policies of public liability, fire, and all other policies of insurance at any time in force with respect to the Premises as required pursuant to this Lease; provided, however, notwithstanding the foregoing, Tenant shall not be required to make any alterations or additions to the Premises (as originally constructed pursuant to the original plans and specifications) which may be required pursuant to such laws, orders, rules, regulations or requirements, it being agreed and understood that in the event any such law, order, rule, regulation or requirement requires that alterations or additions be made to the Premises, same shall be completed by Landlord (as to the Premises as originally constructed pursuant to the original plans and specifications) and by Tenant (for those parts of the Premises altered by Tenant), as applicable.
COMPLIANCE WITH LAWS AND GOVERNMENTAL REGULATIONS. SECTION 4.01 Tenant shall throughout the term of this Lease, without cost to ------------ Landlord, promptly comply with all laws and ordinances, and the orders, rules, regulations and requirements of all federal, state and municipal governments and appropriate departments, commissions, boards and officers thereof, foreseen or unforeseen, ordinary as well as extraordinary ("Legal Requirements"). It shall be the responsibility of the Tenant of the Demised Premises to replace, as necessary, all lamps and bulbs for the fire exits and emergency lights. Tenant shall be responsible for the purchase and installation of a fire extinguisher(s) for the Demised Premises. Tenant will have an annual inspection of all fire extinguishers and pay the annual fire inspection fee as required by the Borough.
COMPLIANCE WITH LAWS AND GOVERNMENTAL REGULATIONS. A. Tenant shall at all times during the Term be in full compliance with any and all federal, state and local governmental rules and regulations, ordinances and similar provisions having the force and effect of law (collectively, “Laws”) which are or would be applicable to the business being conducted in the Leased Area. In particular, it shall be the sole responsibility of the Tenant to ensure that the Paint Booth, the New Blast Booth and all other paint and blast booths operated within the Leased Area, as well as throughout the Project, are fully permitted at all times and that all such Booths and other booths are used, maintained and operated by the Tenant in full compliance with all permits, laws, rules and regulations of the State of South Carolina and the United States Federal Government and their respective agencies; the Tenant shall defend, hold harmless and indemnify the Landlord under Section 11 (Indemnification) from any violation hereof. In addition, the Wash Area shall not be used until and unless all necessary permits and licenses have been obtained from appropriate governmental agencies to operate the Project’s oil/water separator system.

  • Compliance with Governmental Regulations Landlord and Tenant shall comply with all rules, regulations and requirements promulgated by national, state or local governmental agencies or utility suppliers concerning the use of utility services, including any rationing, limitation or other control. Tenant shall not be entitled to terminate this Lease nor to any abatement in rent by reason of such compliance.

Tenant will comply with the rules and regulations of the Leased Premises adopted by Landlord in its reasonable discretion. All such rules and regulations and changes and amendments thereto will be sent by Landlord to Tenant in writing and shall thereafter be carried out and observed by Tenant.

  • Compliance with Laws and Documents No Company shall (a) violate the provisions of any Laws or rulings of any Governmental Authority applicable to it or of any Material Agreement to which it is a party if that violation alone, or when aggregated with all other violations, would be a Material Adverse Event, (b) violate the provisions of its organizational documents if such violation would cause a Material Adverse Event, or (c) repeal, replace, or amend any provision of its organizational documents if that action would be a Material Adverse Event.
