Governmental Submittals. The Landlord shall prepare all applications and submittals (collectively, “Submittal Package”) to all governmental and quasi-governmental authorities having jurisdiction over the design and construction of the Landlord Improvements (“Governmental Authorities”) necessary to obtain all permits, licenses, variances, and approvals required in order to construct the Landlord Improvements. The Submittal Package shall be consistent in all material respects with the Conceptual Development Package approved by the Tenant and shall include copies of any proposed applications, sign plans, associated offsite improvements, drawings and plans and shall be submitted to the Tenant for approval or disapproval (which shall not be unreasonably withheld or delayed) prior to actual submittal to the applicable Governmental Authorities.

Governmental Submittals. As used in this AgreementJoint Work” shall mean those certain onsite and offsite improvements and related civil engineering work, common signage, and common area landscaping that Seller reasonably determines (in consultation with Buyer) are required for joint access to the Real Property and the remaining parcels. Each party shall independently, but in consultation with the other party, prepare all applications and submittals to all Governmental Authorities having jurisdiction over the design and construction of the Joint Work necessary to obtain all applicable governmental approvals for the construction of their portion of the Project (each a "Design Review Package"). Each Design Review Package shall include copies of the proposed applications, drawings, plans and a fee schedule and shall be submitted to each party for approval or disapproval prior to actual submittal to the applicable Governmental Authorities. The Design Review Packages may be developed concurrently, but shall be structured to be independent of any other Design Review Package and will be separately filed with the applicable Governmental Authorities after the approval requirements of Subsection 9.3(c)(ii) below have been satisfied.
Governmental Submittals. Except as otherwise provided in this Agreement, SHL will provide the Town with copies of all documents submitted to any governmental agencies relating to the Landfill, prior to, or simultaneous with, their submittal. Additionally, SHL will provide the Town with weekly summary reports of all Landfill gate receipts and disposal rates, and, upon reasonable notice, access to all backup documents to support these reports in sufficient detail to permit the Town to audit the veracity of the reports.
Governmental Submittals. Tenant shall timely, at Tenant's own cost and expense, make all submissions to, xxxxide all information to, and comply with all requirements of any governmental authority having jurisdiction (the "Government") under the Environmental Laws with respect to any activity or operation on the Premises during the term of this Lease, including, but not limited to, timely submittal of permit applications and renewals, notices, and approvals. Should the Government determine that an environmental investigation of any kind and/or a cleanup plan be prepared or that a cleanup should be undertaken because of any Release or threat of a Release of Hazardous Materials at the Premises which occurs or may have occurred during the term of this Lease, regardless of whether Tenant caused the Release by any act or omission, then Tenant shall promptly and timely, at Tenant's own cost and expense, prepare and submit the required plans and financial assurances, and carry out the approved plans in accordance with all requirements of the Government.
Governmental Submittals. Landlord shall submit the approved plans as soon as available from the Tenant and Architect and together with the Architect monitor the status with the City of Cupertino until the Building Permit is obtained.
Governmental Submittals. Cutter Aviation Prescott, LLC shall be responsible for making all submissions to the appropriate governmental authorities as required under all applicable Environmental Laws, at Xxxxxx’s sole expense. Should such governmental authorities determine that a site characterization or site assessment and/or cleanup should be prepared and/or undertaken because of the presence of any Hazardous Materials on the Property or Airport by reason of Lessee’s activities or actions, then Cutter Aviation Prescott, LLC shall, at Lessee’s own expense, prepare and submit the required plans and financial assurances and carry out the approved plans.

  • Governmental Compliance The Tenant Improvements shall comply in all respects with the following: (i) the Code and other state, federal, city or quasi-governmental laws, codes, ordinances and regulations, as each may apply according to the rulings of the controlling public official, agent or other person; (ii) applicable standards of the American Insurance Association (formerly, the National Board of Fire Underwriters) and the National Electrical Code; and (iii) building material manufacturer’s specifications.

  • Governmental Consent, etc No permit, consent, approval or authorization of, or declaration to or filing with, any governmental authority is required in connection with the execution, delivery and performance by the Company of this Agreement or the other agreements contemplated hereby, or the consummation by the Company of any other transactions contemplated hereby or thereby.

  • Government Authorizations Section 1.1 (a) of the Disclosure Schedule contains a true and complete list of all the Licenses, which Licenses are sufficient for the lawful conduct of the business and operation of the Station in the manner and to the full extent they are currently conducted. Seller is the authorized legal holder of the Licenses, none of which is subject to any restriction or condition which would limit in any material respect the full operation of the Station as now operated. There are no applications, complaints or proceedings pending or, to the best of Seller's knowledge, threatened as of the date hereof before the Commission or any other governmental authority relating to the business or operations of the Station, other than applications, complaints or proceedings which generally affect the broadcasting industry as a whole, and other than reports and forms filed in the ordinary course of the Station's business. Seller has delivered to Buyer true and complete copies of the Licenses, including any and all additions, amendments and other modifications thereto. The Licenses are in good standing, are in full force and effect and are unimpaired by any act or omission of Seller or its officers, directors or employees; and the operation of the Station is in accordance with the Licenses and the underlying construction permits. No proceedings are pending or, to the knowledge of Seller, are threatened which may result in the revocation, modification, non-renewal or suspension of any of the Licenses, the denial of any pending applications, the issuance of any cease and desist order, the imposition of any administrative actions by the Commission with respect to the Licenses or which may affect Buyer's ability to continue to operate the Station as it is currently operated. Seller has taken no action which, to its knowledge, could lead to revocation or non- renewal of the Licenses, nor omitted to take any action which, by reason of its omission, could lead to revocation of the Licenses. All material reports, forms and statements required to be filed with the Commission with respect to the Station since the grant of the last renewal of the Licenses have been filed and are complete and accurate. To the knowledge of Seller, there are no facts which, under the Communications Act of 1934, as amended, or the existing rules, regulations, requirements, policies and orders of the Commission, would disqualify Seller as assignor, and Buyer as assignee, in connection with the Assignment Application.

  • Governmental Consents, etc No authorization, consent, approval, license or exemption of or registration, declaration or filing with any Governmental Authority, is necessary for the valid execution and delivery of, or the incurrence and performance by the Company of its obligations under, any Loan Document to which it is a party, except those that have been obtained and such matters relating to performance as would ordinarily be done in the ordinary course of business after the Execution Date.
