Governmental Suspension. If any applicable Law, order or decree shall prevent or limit J&J or any of its Affiliates or Service Providers in providing or arranging for any Service, then, in any such event J&J shall not be required to provide (or arrange for the provision of), and Kenvue shall not be required to pay for, the relevant Service to the extent so limited, restricted or regulated. J&J shall give Kenvue prompt notice of any such event, and thereafter the parties shall cooperate in good faith to minimize any adverse consequences to Kenvue (and its Affiliates) resulting therefrom, including by seeking alternative arrangements for the provision of such Service. J&J shall perform such mutually satisfactory alternative arrangement and Kenvue shall bear any additional costs and expenses incurred in the performance of such alternative arrangement.

Select shall give Concentra prompt notice of any such event, and thereafter the parties shall cooperate in good faith to minimize any adverse consequences to Concentra (and its Affiliates) resulting therefrom, including by seeking alternative arrangements for the provision of such Service. Select shall perform such mutually satisfactory alternative arrangement and Concentra shall bear any additional costs and expenses incurred in the performance of such alternative arrangement.

Seller shall give Buyer prompt notice of any such occurrence, and the parties hereto shall cooperate in good faith to devise an alternative arrangement for the provision of such Service. Seller shall perform such mutually satisfactory alternative arrangement and Buyer shall bear any additional costs and expenses incurred in the performance of such alternative arrangement to which Buyer has agreed.
Governmental Suspension. If any Law or Governmental Order shall prevent, limit or restrict Seller or any Affiliate of Seller in performing or arranging for the performance of any Transition Service for providing facilities for such purposes, then, in any such event Seller shall not be required to provide the Transition Services or facilities for the Transition Services to the extent so prevented, limited or restricted; provided, however, that Seller shall use commercially reasonable efforts to cure the basis for any such Law or Governmental Order and cooperate in good faith with Buyer to mitigate any adverse consequences to Buyer of such prevention, limitation or restriction.

Provider shall perform such mutually satisfactory alternative arrangement, and Service Recipient shall bear any additional reasonable out-of-pocket costs and expenses incurred in the performance of such alternative arrangement to which Service Recipient has agreed.
