Governmental Suspension Sample Clauses
The Governmental Suspension clause allows a party to temporarily halt its obligations under a contract if required by government action, regulation, or order. In practice, this means that if a government agency issues a directive that affects the performance of the contract—such as a work stoppage, embargo, or new compliance requirement—the affected party can suspend its duties without being in breach. This clause is essential for managing risks associated with unforeseen government interventions, ensuring that parties are not penalized for delays or non-performance caused by circumstances beyond their control.

J&J shall give Kenvue prompt notice of any such event, and thereafter the parties shall cooperate in good faith to minimize any adverse consequences to Kenvue (and its Affiliates) resulting therefrom, including by seeking alternative arrangements for the provision of such Service. J&J shall perform such mutually satisfactory alternative arrangement and Kenvue shall bear any additional costs and expenses incurred in the performance of such alternative arrangement.

Service Provider shall perform such mutually satisfactory alternative arrangement, and Service Recipient shall bear any additional reasonable out-of-pocket costs and expenses incurred in the performance of such alternative arrangement to which Service Recipient has agreed.
