Common use of Grant and Exercise Clause in Contracts

Grant and Exercise. The Holder is hereby granted the right to purchase up to 325,000 shares of Common Stock at any time from May 28, 2003, until the expiration dates of the respective Warrants. The initial exercise prices per share of the Warrants shall be (subject to adjustment as provided in Section 8 hereof) as provided in Section 6 hereof.

The Holder is hereby granted the right to purchase up to 325,000 1,000,000 shares of Common Stock at any time from May 28March 7, 20032002, until the expiration dates earlier to occur of (i) 5:30 p.m., New York time, on March 6, 2003 or (ii) the termination of the respective WarrantsConsulting Agreement. The initial exercise prices per share of the Warrants shall be (subject to adjustment as provided in Section 8 hereof) as provided in Section 6 hereof.
