Grant of Dissent Rights. Notwithstanding Article 2 hereof, any of the Buyco Securityholders may exercise Dissent Rights in connection with the Arrangement in the manner set forth in sections 237 to 247 of the BCBCA (collectively, the “Dissent Procedures”).
Grant of Dissent Rights. 5.1 Notwithstanding Section 3.1(a), SESI and ADR agree that holders of SESI Shares may exercise rights of dissent (the "Dissent Rights") in connection with this Plan of Arrangement, as set out in Section 207 of the BCCA, as if the Plan of Arrangement was a sale of SESI's undertaking under Section 126 of the BCCA.
