Common use of Grant of Exclusive License Clause in Contracts

Grant of Exclusive License. Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee on behalf of itself and its Affiliates an exclusive (even as to Licensor and its Affiliates), irrevocable, perpetual and transferable license under the Licensed Intellectual Property to manufacture, have manufactured, use, market, sell, have sold, offer to sell, import or otherwise exploit the Product in the Field of Use in the Territory, with the right to grant sublicenses subject to Section 2.2.

Grant of Exclusive License. Subject Licensor hereby grants to Licensee an exclusive, royalty-bearing license, including the right to grant sublicenses in accordance with Section 2.1.3, under the Licensed Patent Rights and Licensed Technology and Licensor’s interest in any Improvements, to make, have made, develop, have developed, use, have used, sell, have sold, offer for sale, commercialize, have commercialized, import, have imported, export and have exported Licensed Products in the Territory, for any and all uses within the Exclusive Licensed Field, subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee on behalf of itself and its Affiliates an exclusive (even as to Licensor and its Affiliates), irrevocable, perpetual and transferable license under the Licensed Intellectual Property to manufacture, have manufactured, use, market, sell, have sold, offer to sell, import or otherwise exploit the Product in the Field of Use in the Territory, with the right to grant sublicenses subject to Section 2.2.

Grant of Exclusive License. Subject Licensor hereby grants to Licensee an exclusive, royalty-bearing license, including the right to grant sublicenses in accordance with Subsection 2.1.3, under the Licensed Patent Rights set forth on Schedule B attached hereto and the corresponding Licensed Technology (the “Exclusive Patent Rights”): (i) to conduct research and development in support of the licensed uses described in clause (ii) of this Subsection, and (ii) to make, have made, import, export, use, offer for sale or sell Licensed Products in the Licensed Field, subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee on behalf of itself and its Affiliates an exclusive (even as to Licensor and its Affiliates), irrevocable, perpetual and transferable license under the Licensed Intellectual Property to manufacture, have manufactured, use, market, sell, have sold, offer to sell, import or otherwise exploit the Product in the Field of Use in the Territory, with the right to grant sublicenses subject to Section 2.2.

Grant of Exclusive License. Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee on behalf of itself and its Affiliates an exclusive (even as to Licensor and its AffiliatesLicensor), irrevocableperpetual, perpetual worldwide license (sublicenseable at any level) under and transferable license under the Licensed Intellectual Property to manufactureLicensor' s patents, have manufacturedpatent applications, copyrights, know-how, and other intellectual property and rights of all kinds to: (i) use, marketreproduce, selldistribute, have sold, offer to sell, import and sell or otherwise exploit dispose of the Product in the Field of Use in the Territory, with the right to grant sublicenses subject to Section 2.2.Works; and (ii)

Grant of Exclusive License. Subject to the terms and conditions of this Agreement, the Licensor hereby grants to Licensee on behalf of itself and its Affiliates an exclusive (even as to Licensor and its Affiliates), irrevocable, perpetual ) and transferable license under to use the Licensed Intellectual Property Marks to manufacture, have manufactured, use, market, sell, have sold, offer to sell, import or otherwise exploit the Product in the Field of Use Licensed Products in the Territory, with the right to grant sublicenses subject to Section 2.22.2 above.

Subject Licensor hereby grants to Licensee an exclusive (even as to the Licensor and its Affiliates), royalty-bearing license, including the right to grant sublicenses in accordance with Subsection 2.1.3: (i) to conduct research and development in support of the licensed uses describe in clause (ii) of this Subsection, and (ii) to make, have made, import, export, use, offer for sale or sell Licensed Products in the Licensed Field to the extent embodying the Exclusive Design, subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee on behalf of itself and its Affiliates an exclusive (even as to Licensor and its Affiliates), irrevocable, perpetual and transferable license under the Licensed Intellectual Property to manufacture, have manufactured, use, market, sell, have sold, offer to sell, import or otherwise exploit the Product in the Field of Use in the Territory, with the right to grant sublicenses subject to Section 2.2.

Grant of Exclusive License. Subject to the terms and conditions of this AgreementAgreement and to the extent permitted by law, Licensor hereby grants to Licensee, and Licensee on behalf of itself and its Affiliates hereby accepts from Licensor, an exclusive (even as license ( the "Exclusive License") to Licensor use the Patent and its Affiliates), irrevocable, perpetual and transferable license under the Licensed Intellectual Property Improvements to manufacture, have manufactured, use, market, sell, have sold, install and offer to sell, import or otherwise exploit for sale and sell Products within the Product in Territory during the Field of Use in the Territory, with the right to grant sublicenses subject to Section 2.2Contract Period.
