GRANT OF OPTION AND EXERCISE. 1.1 GRANT OF OPTION. Stockholder hereby grants to Parent an irrevocable option (the "Option") to purchase, on the terms and subject to the provisions set forth herein, any or all of the Subject Shares at a price per Subject Share equal to $32.30 (the "Purchase Price"). The Purchase Price shall be appropriately adjusted if, between the date of this Option Agreement and any Closing Date (as defined in Section 1.3), the outstanding shares of Company Common Stock are changed into a different number or class of shares by reason of any stock split, stock dividend, reverse stock split, reclassification, recapitalization or other similar transaction.
