Grant of Option and Option Price. Subject to the terms and conditions hereof, the Company hereby grants to Optionee as of the close of business on this the 18th day of December, 1997, the right, privilege and option to purchase 25,000 shares of the Company's common stock, par value $.10, at an option price of $4.125 a share (the "Exercise Price), such Exercise Price being one hundred percent (100%) of the Fair Market Value of the Common Stock as determined at the close of the business on the 18th day of December, 1997.
