Common use of Grant of Stock Clause in Contracts

Grant of Stock. Pursuant to Section 5 of the Employment Agreement, the Executive is hereby granted, effective on the Grant Date and subject to the terms and conditions of this Agreement, 17,109 shares of Restricted Stock, said number of shares being determined as follows: (a) the average of the highest ($29.66) and lowest ($28.79) fair market value of one share of Holding Corp. Common Stock on the Grant Date is $29.225; and (b) 17,109 shares of Holding Corp. Common Stock, at a fair market value of $29.225, would have a fair market value of $500,010.525.

Grant of Stock. Pursuant to Section 5 of the Employment Agreement, the Executive is hereby granted, effective on the Grant Date and subject to the terms and conditions of this Agreement, 17,109 21,552 shares of Restricted Stock, said number of shares being determined as follows: (a) the average of the highest ($29.6624.00) and lowest ($28.7922.41) fair market value of one share of Holding Corp. Common Stock on the Grant Date is $29.22523.20; and (b) 17,109 21,552 shares of Holding Corp. Common Stock, at a fair market value of $29.22523.20, would have a fair market value of $500,010.525500,006.

Grant of Stock. Pursuant to Section 5 of the Employment Agreement, the Executive is hereby granted, effective on the Grant Date and subject to the terms and conditions of this Agreement, 17,109 14,952 shares of Restricted Stock, said number of shares being determined as follows: (a) the average of the highest ($29.6634.00) and lowest ($28.7932.89) fair market value of one share of Holding Corp. Common Stock on the Grant Date is $29.22533.44; and (b) 17,109 14,952 shares of Holding Corp. Common Stock, at a fair market value of $29.22533.44, would have a fair market value of $500,010.525499,995.

Grant of Stock. Pursuant to Section 5 of the Employment AgreementThe Company and Executive hereby agree that, the Executive is hereby granted, effective on the Grant Date and subject to the approval of a majority of Holding Corp. shareholders ("Shareholder Approval") and the terms and conditions of this Agreement, the Executive will be granted 17,109 shares of Restricted Stock, said number of shares being determined as follows: (a) the average of the highest ($29.66) and lowest ($28.79) fair market value of one share of Holding Corp. Common Stock on the Grant Effective Date is $29.225; and (b) 17,109 shares of Holding Corp. Common Stock, at a fair market value of $29.225, would have a fair market value of $500,010.525.

Grant of Stock. Pursuant to Section 5 6 of the Employment Agreement, the Executive is hereby granted, effective on the Grant Date and subject to the terms and conditions of this Agreement, 17,109 21,552 shares of Restricted Stock, said number of shares being determined as follows: (a) the average of the highest ($29.6624.00) and lowest ($28.7922.41) fair market value of one share of Holding Corp. Common Stock on the Grant Date is $29.22523.20; and (b) 17,109 21,552 shares of Holding Corp. Common Stock, at a fair market value of $29.22523.20, would have a fair market value of $500,010.525500,006.

Grant of Stock. Pursuant to Section 5 5(b) of the Employment Agreement, the Executive is hereby granted, effective on the Grant Date and subject to the terms and conditions of this Agreement, 17,109 34,218 shares of Restricted Stock, said number of shares being determined as follows: (a) the average of the highest ($29.66) and lowest ($28.79) fair market value of one share of Holding Corp. Common Stock on the Grant Date is $29.225; and (b) 17,109 34,218 shares of Holding Corp. Common Stock, at a fair market value of $29.22529.225 per share, would have a fair market value of $500,010.5251,000,021.05.
