Common use of Grant of the Performance-Based Restricted Share Units Clause in Contracts

Grant of the Performance-Based Restricted Share Units. Subject to the terms and conditions of the Plan and the additional terms and conditions set forth in this Agreement including any country-specific provisions set forth in Schedule A to this Agreement, and, if applicable, the restrictive covenants set forth in Schedule B to the Agreement, the Company hereby grants to the Associate the target number of PRSUs specified in a schedule to the Agreement or as stated in the Associate’s online account with the Company’s designated broker/stock plan administrator. In circumstances where the Associate is required to enter into the Agreement of Restrictive Covenants and Other Obligations set forth in Schedule B, the Associate agrees that the grant of PRSUs pursuant to this Agreement is sufficient consideration for the Associate entering into such agreement.

In circumstances where the Associate Colleague is required to enter into the Agreement of Restrictive Covenants and Other Obligations set forth in Schedule B, the Associate Colleague agrees that the grant of PRSUs pursuant to this Agreement is sufficient consideration for the Associate Colleague entering into such agreement.

In circumstances where the Associate is required to enter into the Agreement of Restrictive Covenants and Other Obligations set forth in Schedule B, the Associate agrees that the grant of PRSUs pursuant to this Agreement is sufficient consideration for the Associate entering into such agreement.
