Common use of Grantor Remains Liable Clause in Contracts

Grantor Remains Liable. Anything contained herein to the contrary notwithstanding, (a) Grantor shall remain liable under any contracts and agreements included in the Collateral, to the extent set forth therein, to perform all of its duties and obligations thereunder to the same extent as if this Agreement had not been executed, (b) the exercise by Secured Party of any of its rights hereunder shall not release Grantor from any of its duties or obligations under the contracts and agreements included in the Collateral, and (c) Secured Party shall not have any obligation or liability under any contracts and agreements included in the Collateral by reason of this Agreement, nor shall Secured Party be obligated to perform any of the obligations or duties of Grantor thereunder or to take any action to collect or enforce any claim for payment assigned hereunder.

REPRESENTATIONS AND WARRANTIES

Anything contained herein to the contrary notwithstanding, notwithstanding (a) Grantor shall remain liable under any the contracts and agreements included in the Collateral, Collateral to the extent set forth therein, to and shall perform all of its duties and obligations thereunder under such contracts and agreements, to the same extent as if this Pledge Agreement had not been executed, ; (b) the exercise by Secured Party Holder of any of its rights hereunder shall not release Grantor from any of its duties or obligations under the any contracts and agreements included in the Collateral, ; and (c) Secured Party Holder shall not have any obligation or liability under any such contracts and or agreements included in the Collateral by reason of this Pledge Agreement, nor shall Secured Party Holder be obligated to perform any of the obligations or duties of Grantor thereunder or to take any action to collect or enforce any claim for payment assigned hereunder.

Anything contained herein to the contrary notwithstanding, (a) Grantor shall remain liable under any contracts and agreements Contracts included in the Intellectual Property Collateral, to the extent set forth therein, to perform all of its duties and obligations thereunder to the same extent as if this Agreement had not been executed, (b) the exercise by Secured Party of any of its rights hereunder shall not release Grantor from any of its duties or obligations under the contracts and agreements Contracts included in the Intellectual Property Collateral, and (c) Secured Party shall not have any obligation or liability under any contracts Contracts and agreements licenses included in the Intellectual Property Collateral by reason of this Agreement, nor shall Secured Party be obligated to perform any of the obligations or duties of Grantor thereunder or to take any action to collect or enforce any claim for payment assigned hereunder.

Anything contained herein ---------------------- to the contrary notwithstanding, (a) the Grantor shall remain liable under any the contracts and agreements included in the Collateral, Collateral to the extent set forth therein, therein to perform all of its duties and obligations thereunder to the same extent as if this Agreement had not been executed, (b) the exercise by Secured Party the Agent of any of its the rights hereunder shall not release the Grantor from any of its duties or obligations under the contracts and agreements included in the Collateral, and (c) neither the Agent nor any Secured Party shall not have any obligation or liability under any the contracts and agreements included in the Collateral by reason of this Agreement, nor shall the Agent or any Secured Party be obligated to perform any of the obligations or duties of the Grantor thereunder or to take any action to collect or enforce any claim for payment assigned in which a security interest is granted hereunder.

Grantor Remains Liable. Anything contained herein to the contrary notwithstanding, (a) the Grantor shall remain liable under any contracts the Contracts and agreements other items included in the Collateral, Collateral to the extent set forth therein, therein to perform all of its duties and obligations thereunder to the same extent as if this Agreement had not been executed, (b) the exercise by the Secured Party of any of its the rights hereunder shall not release the Grantor from 3 any of its duties or obligations under the contracts Contracts and agreements other items included in the Collateral, and (c) the Secured Party shall not have any no obligation or liability under any contracts the Contracts and agreements other items included in the Collateral by reason of this Agreement, nor shall the Secured Party be obligated to perform any of the obligations or duties of the Grantor thereunder or to take any action to collect or enforce any claim for payment assigned hereunder.

Grantor Remains Liable. Anything contained herein to the contrary notwithstanding, (a) Grantor shall remain liable under any contracts and agreements included in the Collateral, Collateral to the extent set forth therein, therein to perform all of its respective duties and obligations thereunder to the same extent as if this Agreement had not been executed, (b) the exercise by the Secured Party or any Creditor of any of its the rights hereunder shall not release Grantor from any of its duties or obligations under the contracts and agreements included in the Collateral, Collateral and (c) neither the Secured Party nor any Creditor shall not have any obligation or liability under any contracts and agreements included in the Collateral by reason of this Agreement, nor shall the Secured Party or any Creditor be obligated to perform any of the obligations or duties of Grantor thereunder or to take any action to collect or enforce any claim for payment assigned in respect of which a security interest is granted hereunder.

Anything contained herein to the contrary notwithstanding, (a) Grantor shall remain liable under any contracts and agreements included in the Collateral, to the extent set forth therein, to perform all of its duties and obligations thereunder to the same extent as if this Agreement had not been executed, (b) the exercise by Secured Party of any of its rights hereunder shall not release Grantor from any of its duties or obligations under the any contracts and agreements included in the Collateral, and (c) Secured Party shall not have any obligation or liability under any contracts and agreements included in the Collateral by reason of this Agreement, nor shall Secured Party be obligated to perform any of the obligations or duties of Grantor thereunder or to take any action to collect or enforce any claim for payment assigned hereunder.
