Common use of Grantor Remains Liable Clause in Contracts

Grantor Remains Liable. Anything contained herein to the contrary notwithstanding, (a) Grantor shall remain liable under any contracts and agreements included in the Collateral, to the extent set forth therein, to perform all of its duties and obligations thereunder to the same extent as if this Agreement had not been executed, (b) the exercise by Secured Party of any of its rights hereunder shall not release Grantor from any of its duties or obligations under the contracts and agreements included in the Collateral, and (c) Secured Party shall not have any obligation or liability under any contracts and agreements included in the Collateral by reason of this Agreement, nor shall Secured Party be obligated to perform any of the obligations or duties of Grantor thereunder or to take any action to collect or enforce any claim for payment assigned hereunder.

Grantor Remains Liable. Anything contained herein to the ---------------------- contrary notwithstanding, , (a) Grantor shall remain liable under any contracts and agreements included in the Collateral, to the extent set forth therein, to perform all of its duties and obligations thereunder to the same extent as if this Agreement had not been executed, (b) the exercise by Secured Party of any of its rights hereunder shall not release Grantor from any of its duties or obligations under the contracts and agreements included in the Collateral, and (c) Secured Party shall not have any obligation or liability under any contracts and agreements included in the Collateral by reason of this Agreement, nor shall Secured Party be obligated to perform any of the obligations or duties of Grantor thereunder or to take any action to collect or enforce any claim for payment assigned hereunder.

Anything contained herein to the contrary notwithstanding, : (a) Grantor shall remain liable under any the contracts and agreements included in the Collateral, Collateral to the extent set forth therein, to and shall perform all of its duties and obligations thereunder under such contracts and agreements to the same extent as if this Security Agreement had not been executed, ; (b) the exercise by Secured Party Agent of any of its rights hereunder shall not release Grantor from any of its duties or obligations under the any such contracts and or agreements included in the Collateral, and ; and (c) Secured neither Agent nor any other Lender Party shall not have any obligation or liability under any such contracts and or agreements included in the Collateral by reason of this Security Agreement, nor shall Secured Agent or any other Lender Party be obligated to perform any of the obligations or duties of Grantor thereunder or to take any action to collect or enforce any claim for payment assigned hereunder.

Anything contained herein to the contrary notwithstanding, in the absence of the Secured Party's express prior written consent thereto, (a) the Grantor shall remain liable under any and all contracts and agreements included in the Collateral, Collateral to the extent set forth therein, therein to perform all of its duties and obligations thereunder to the same extent as if this Agreement had not been executed, (b) the exercise by the Secured Party of any of its the rights hereunder shall not release the Grantor from any of its duties or obligations under the any contracts and agreements included in the Collateral, and (c) the Secured Party shall not have any obligation or liability under any contracts and agreements included in the Collateral by reason of this Agreement, nor shall the Secured Party be obligated to perform any of the obligations or duties of the Grantor thereunder under any such contract or agreement or to take any action to collect or enforce any claim for payment assigned hereunder.

Anything contained herein to the contrary notwithstanding, (ai) Grantor shall remain liable under any contracts and agreements included in the Collateral, to the extent set forth therein, to perform all of its duties and obligations thereunder to the same extent as if this Agreement had not been executed, (bii) the exercise by Secured Party of any of its rights hereunder shall not release Grantor from any of its duties or obligations under the contracts and agreements included in the Collateral, and (ciii) Secured Party shall not have any obligation or liability under any contracts and agreements included in the Collateral by reason of this Agreement, nor shall Secured Party be obligated to perform any of the obligations or duties of Grantor thereunder or to take any action to collect or enforce any claim for payment assigned hereunder.
