Common use of Grantor Remains Liable Clause in Contracts

Grantor Remains Liable. Anything contained herein to the contrary notwithstanding, (a) Grantor shall remain liable under any contracts and agreements included in the Collateral, to the extent set forth therein, to perform all of its duties and obligations thereunder to the same extent as if this Agreement had not been executed, (b) the exercise by Agent of any of its rights hereunder shall not release Grantor from any of its duties or obligations under the contracts and agreements included in the Collateral, and (c) Agent shall not have any obligation or liability under any contracts and agreements included in the Collateral by reason of this Agreement, nor shall Agent be obligated to perform any of the obligations or duties of Grantor thereunder or to take any action to collect or enforce any claim for payment assigned hereunder.

Anything contained herein to the contrary notwithstanding, (a) Grantor shall remain liable under any the contracts and agreements included in the Collateral, Grantor’s Collateral to the extent set forth therein, therein to perform all of its duties and obligations thereunder to the same extent as if this Agreement had not been executed, (b) the exercise by Agent the Lender of any of its the rights hereunder shall not release Grantor from any of its duties or obligations under the contracts and agreements included in the Collateral, Collateral and (c) Agent Lender shall not have any obligation or liability under any the contracts and agreements included in the Collateral by reason of this AgreementAgreement or any other Loan Document, nor shall Agent Lender be obligated to perform any of the obligations or duties of Grantor thereunder or to take any action to collect or enforce any claim for payment assigned hereunder.

Anything contained Notwithstanding anything herein to the contrary notwithstanding, contrary: (a) the Grantor shall remain liable under any the contracts and agreements included in the Collateral, Collateral to the extent set forth therein, therein to perform all of its duties and obligations thereunder to the same extent as if this Security Agreement had not been executed, ; (b) the exercise by Agent the Lender of any of its the rights or remedies hereunder shall not release the Grantor from any of its duties or obligations under the contracts and agreements included in the Collateral, and ; and (c) Agent the Lender shall not have any obligation or liability under any the contracts and agreements included in the Collateral by reason of this Agreement, nor shall Agent the Lender be obligated to perform any of the obligations or duties of the Grantor thereunder or to take any action to collect or enforce any claim for payment assigned hereunder.

Anything contained herein to the contrary notwithstanding, (a) the Grantor shall remain liable under any its respective contracts and agreements included in the Collateral, Collateral to the extent set forth therein, therein to perform all of its duties and obligations thereunder to the same extent as if this Agreement had not been executed, (b) the exercise by the Agent of any of its the rights hereunder shall not release the Grantor from any of its duties or obligations under the its respective contracts and agreements included in the Collateral, and (c) neither the Agent nor any Holder shall not have any obligation or liability under any the contracts and agreements included in the Collateral by reason of this Agreement, nor shall the Agent or any Holder be obligated to perform any of the obligations or duties of the Grantor thereunder or to take any action to collect or enforce any claim for payment assigned hereunder.

Anything contained herein to the contrary notwithstanding, (ai) each Grantor shall remain liable under any the contracts and agreements included in the Collateral, Intellectual Property Collateral to the extent set forth therein, therein to perform all of its duties and obligations thereunder to the same extent as if this Agreement had not been executed, (bii) the exercise by the Collateral Agent of any of its the rights hereunder shall not release each Grantor from any of its duties or obligations under the contracts and agreements included in the Collateral, Intellectual Property Collateral and (ciii) the Collateral Agent shall not have any has no obligation or liability under any the contracts and agreements included in the Intellectual Property Collateral by reason of this Agreement, nor shall the Collateral Agent be obligated to perform any of the obligations or duties of such Grantor thereunder or to take any action to collect or enforce any claim for payment assigned hereunder.

Anything contained herein to the contrary notwithstanding, (ai) Grantor each of the Grantors shall remain liable under any contracts and agreements included which have been (in the Collateral, to the extent set forth therein, whole or in part) pledged or assigned herein to perform all of its duties and obligations thereunder to the same extent as if this Agreement had not been executed, ; (bii) the exercise by the Collateral Agent of any of its the rights hereunder shall not release Grantor any of the Grantors from any of its respective duties or obligations under the contracts and agreements included in the Collateral, any such agreements; and (ciii) the Collateral Agent shall not have any obligation or liability under any contracts and such agreements included in the Collateral by reason of this Agreement, nor shall the Collateral Agent be obligated to perform any of the obligations or duties of Grantor any of the Grantors thereunder or to take any action to collect or enforce any claim for payment assigned hereunder.

Anything contained herein to the contrary notwithstanding, notwithstanding (a) the Grantor shall remain be liable under any the contracts and agreements included in the Collateral, Collateral to the extent set forth therein, therein to perform all of its the duties and obligations thereunder to the same extent as if this Agreement had not been executed, (b) the exercise by Agent the Bank of any of its the rights hereunder shall not release the Grantor from any of its duties or obligations under the contracts and agreements included in the Collateral, and (c) Agent the Bank shall not have any obligation or liability under any the contracts and agreements included in the Collateral by reason of this Agreement, nor shall Agent the Bank be obligated to perform any of the obligations or duties of the Grantor thereunder or to take any action to collect correct or enforce any claim for payment assigned hereunderhereunder by reason of this Agreement.
