Common use of Grantor Remains Liable Clause in Contracts

Grantor Remains Liable. Anything herein to the contrary notwithstanding, (a) the Grantor shall remain liable under the contracts and agreements included in the Collateral to the extent set forth therein to perform all of its duties and obligations thereunder to the same extent as if this Agreement had not been executed, (b) the exercise by the Administrative Agent of any of the rights hereunder shall not release Grantor from any of its duties or obligations under the contracts and agreements included in the Collateral and (c) neither the Lenders nor the Administrative Agent shall have any obligation or liability under the contracts and agreements included in the Collateral by reason of this Agreement, nor shall the Administrative Agent or the Lenders be obligated to perform any of the obligations or duties of Grantor thereunder or to take any action to collect or enforce any claim for payment assigned hereunder.

Anything herein to the contrary notwithstanding, ---------------------- notwithstanding Security Agreement (a) the Grantor shall remain liable under the contracts and agreements included in the Collateral to the extent set forth therein to therein, and shall perform all of its duties and obligations thereunder under such contracts and agreements to the same extent as if this Security Agreement had not been executed, ; (b) the exercise by the Administrative Agent of any of the its rights hereunder shall not release Grantor from any of its duties or obligations under the any such contracts and or agreements included in the Collateral and Collateral; and (c) neither the Lenders nor the Administrative Agent shall not have any obligation or liability under the any such contracts and or agreements included in the Collateral by reason of this Security Agreement, nor shall the Administrative Agent or the Lenders be obligated to perform any of the obligations or duties of Grantor thereunder or to take any action to collect or enforce any claim for payment assigned hereunder.

Anything herein to the contrary notwithstanding, : (a) the Grantor shall remain liable under the contracts and agreements included in the Collateral to the extent set forth therein to and shall perform all of its duties and obligations thereunder under such contracts and agreements to the same extent as if this Security Agreement had not been executed, ; (b) the exercise by the Administrative Agent Trustee of any of the its rights and remedies hereunder shall not release the Grantor from any of its duties or obligations under the any such contracts and or agreements included in the Collateral and Collateral; and (c) neither the Lenders nor the Administrative Agent Trustee shall have any no obligation or liability under the any such contracts and or agreements included in the Collateral by reason of this Security Agreement, nor and the Trustee shall the Administrative Agent or the Lenders not be obligated to perform any of the obligations or duties of the Grantor thereunder or to take any action to collect or enforce any claim for payment assigned hereunder.

Anything Notwithstanding anything herein or in any other document to the contrary notwithstandingcontrary, (ai) the Grantor shall remain liable under the contracts and agreements included in the Agreements Collateral to the extent set forth therein to perform all of its duties and obligations thereunder to the same extent as if this Security Agreement had not been executed, (bii) the exercise by the Administrative Collateral Agent of any of the rights hereunder shall not release the Grantor from any of its duties or obligations under the contracts and agreements included in the Agreements Collateral and (ciii) neither the Lenders Collateral Agent nor the Administrative Agent any holder of Secured Obligations shall have any duty, obligation or liability under the contracts and agreements included in the Agreements Collateral by reason of this Security Agreement, nor shall the Administrative Collateral Agent or the Lenders any holder of Secured Obligations be obligated to perform any of the duties or obligations or duties of the Grantor thereunder or to take any action to collect or enforce any claim for payment assigned hereunder.

Anything herein to the contrary notwithstanding, (a) the Grantor shall remain liable under the contracts and agreements included in the Grantor’s Collateral to the extent set forth therein herein to perform all of its duties and obligations thereunder to the same extent as if this Agreement had not been executed, (b) the exercise by the Administrative Agent any Secured Lender of any of the rights hereunder shall not release the Grantor from any of its duties or obligations under the contracts and agreements included in the Collateral Grantor’s Collateral, and (c) neither the Lenders nor the Administrative Agent no Secured Lender shall have any obligation or liability under the contracts and agreements included in the Grantor’s Collateral by reason of this Agreement, nor shall the Administrative Agent or the Lenders any Secured Lender be obligated to perform any of the obligations or duties of the Grantor thereunder or to take any action to collect or enforce any claim for payment assigned hereunder.

Anything herein to the contrary notwithstanding, (a) the Grantor shall remain liable under the contracts and agreements included in the Collateral to the extent set forth therein to therein, and shall perform all of its duties and obligations thereunder under such contracts and agreements to the same extent as if this Security Agreement had not been executed, , (b) the exercise by the Administrative Agent Beneficiary of any of the its rights hereunder shall not release the Grantor from any of its duties or obligations under the any such contracts and or agreements included in the Collateral and Collateral, and (c) neither the Lenders nor the Administrative Agent Beneficiary shall not have any obligation or liability under the any such contracts and or agreements included in the Collateral by reason of this Security Agreement, nor shall the Administrative Agent or the Lenders Beneficiary be obligated to perform any of the obligations or duties of the Grantor thereunder or to take any action to collect or enforce any claim for payment assigned hereunder.

Anything herein Notwithstanding anything to the contrary notwithstandingherein or in any other Loan Document, (a) the Grantor shall remain liable under the contracts and agreements included in the Collateral to the extent set forth therein to perform all of its duties and obligations thereunder to the same extent as if this Agreement had not been executed, (b) the exercise by the Administrative Agent Bank of any of the rights hereunder or remedies under or in connection with this Agreement or any other Loan Document shall not release Grantor from any of its duties or obligations under the contracts and agreements included in the Collateral Collateral, and (c) neither the Lenders nor the Administrative Agent Bank shall not have any obligation or liability under the contracts and agreements included in the Collateral by reason of this AgreementAgreement or any other Loan Document, nor shall the Administrative Agent or the Lenders Bank be obligated to perform any of the obligations or duties of Grantor thereunder or to take any action to collect or enforce any claim for payment assigned hereunder.

Anything herein to the contrary notwithstanding, notwithstanding (a) the Grantor shall remain liable under the contracts and agreements included in the Collateral to the extent set forth therein to therein, and shall perform all of its duties and obligations thereunder under such contracts and agreements, to the same extent as if this Pledge Agreement had not been executed, ; (b) the exercise by the Administrative Agent Buyer of any of the its rights hereunder shall not release Grantor from any of its duties or obligations under the any contracts and agreements included in the Collateral Collateral; and (c) neither the Lenders nor the Administrative Agent Buyer shall not have any obligation or liability under the any such contracts and or agreements included in the Collateral by reason of this Pledge Agreement, nor shall the Administrative Agent or the Lenders Buyer be obligated to perform any of the obligations or duties of Grantor thereunder or to take any action to collect or enforce any claim for payment assigned hereunder.

Anything herein to the contrary notwithstanding, notwithstanding (a) the Grantor shall remain liable under the contracts and agreements included in the Collateral to the extent set forth therein to therein, and shall perform all of its duties and obligations thereunder under such contracts and agreements, to the same extent as if this Pledge Agreement had not been executed, ; (b) the exercise by the Administrative Agent Holder of any of the its rights hereunder shall not release Grantor from any of its duties or obligations under the any contracts and agreements included in the Collateral Collateral; and (c) neither the Lenders nor the Administrative Agent Holder shall not have any obligation or liability under the any such contracts and or agreements included in the Collateral by reason of this Pledge Agreement, nor shall the Administrative Agent or the Lenders Holder be obligated to perform any of the obligations or duties of Grantor thereunder or to take any action to collect or enforce any claim for payment assigned hereunder.
