Grass License Consideration. Subject to the terms and conditions hereof, in consideration for the Grass License, at the First Closing Licensor shall receive the number of shares of Parent’s common stock equivalent to 4.2% of the total number of shares of Parent’s common stock issued and outstanding (including the Parent Shares) as of the First Closing (“First Closing Licensor Shares”), and at the Second Closing Licensor shall receive the number of shares of Parent’s common stock equivalent to 1.8% of the total number of shares of Parent’s common stock issued and outstanding as of the Second Closing (“Second Closing Licensor Shares”).
