GTC Transactions Clause Samples

GTC Transactions. On or before the Closing Date, the Lender shall have reviewed and approved the final form, substance, terms, and conditions of the GTC Transaction and the Stock Purchase Agreement related thereto, including the Lender’s review and satisfaction with the proposed organizational and legal structure, tax assumptions, final projections, purchase allocation, accounting, due diligence, legal opinions, and other related matters.
