Common use of GUARANTEE BINDING Clause in Contracts

GUARANTEE BINDING. This guarantee has been duly executed and delivered and constitutes its legal, valid and binding obligation, enforceable in accordance with its terms, except as enforceability may be limited by laws governing insolvency or creditors' rights generally and general equity principles. The execution, delivery and performance of this guarantee does not and will not violate any provision of law, regulation, order or other governmental directive, or conflict with, constitute a default under, or result in the breach of any provision of any material agreement, ordinance, decree, bond, indenture, order or judgment to which it is a party or by which it is bound.
